Invitation to submit an expression of interest (EOI) for hospitality portfolio situated in Mariborsko Pohorje
Družba za upravljanje terjatev bank, d.d. (“DUTB” or the “Vendor”) is an asset management company established by the Republic of Slovenia to manage repossessed assets of Slovenian banks transferred to its balance sheet and is the sole shareholder of a hotel and hospitality Real Estate Portfolio in Mariborsko Pohorje, Slovenia (“Project Pohorje”) and invites you to
Submit your Expression of Interest (“EOI”) thereof.
PwC as DUTB`s sole financial advisors supports DUTB to divest all assets of the Real Estate Portfolio, in an open, transparent, unconditional and non-discriminatory sales process.
Although it is the Vendor's clear preference to divest all shares in the SPV via a share deal (DUP Pohorje d.o.o.), it will consider your preference of selected assets which will be transferred into the SPV.
The Real Estate Portfolio situated in Mariborsko Pohorje consist of:
- 4-star Hotel Arena (39 rooms & Wellness amenities) & the 3-star Arena Annex (older part of Hotel Arena 4-star, 20 rooms) connected to the 4-Star Hotel Arena benefiting from its facilities & plot of land 14.400 m² surrounding Hotel Arena
- 4-star Wellness Hotel Bolfenk & Apartments (20 rooms & 12 apartments)
- 3-star Hotel Videc & Apartments (28 hotel rooms & 11 apartments) & additional plot of land (18,672 m²)
- Residential building “Pohorske Terase” (30 apartments)
- Additional landbank of 35,338 m² near Hotel Arena 3- Star and 4Star – zoning for this area permits a use for traffic areas, sport/recreation areas, water parks, sports restaurants or ice skating rinks
Bidders interested in the tender are kindly asked to express their interest per e-mail by 17th May 2017, 9 a.m. (CET). Electronical copies suffice.
The EOI should include at least following information - Identification of the Interested Parties or consortium, intention to acquire 100% of the shares in the SPV (DUTB will consider your preference of selected assets which will be transferred into the SPV), envisaged funding of the Purchase Price, your envisaged timeframe (DUTB’s goal is to close the transaction until the end of Q2 2017).
Following the receipt of your EOI and the signed Non-disclosure Agreement, the Vendor shall consider its position and may decide to invite you to the next step of the Process. Indicatively, the Binding Offers will have to be submitted by 17th Ma 2017, 12:00 (CET). Site Visits shall be held in the period between 10th and 14th March 2017.
